These Terms and Conditions (the "Terms") govern access to and use of nanokeratinsystem.com and its online store (the "Site"), including customer accounts, the NKS PRO professional area, purchases made through the Site and related services. The Site is operated by NKS Laboratories Ltd., an Israeli company, company registration number 514854793, whose registered office is at Haplada 23, Ashdod 7752485, Israel ("NKS", "Nanokeratin System", "we", "us" or "our").

Please read these Terms before using the Site or placing an order. By using the Site, creating an account, applying for NKS PRO access or placing an order, you agree to these Terms. Nothing in these Terms limits any consumer right or remedy that cannot lawfully be excluded or restricted under the law applicable to you.

Our Privacy Policy and our Returns, Refunds & Cancellation Policy, together with any Shipping Policy, promotional terms, professional terms or other policies expressly referenced on the Site, form part of these Terms to the extent applicable. If a specific policy applies to an order or service, it should be read together with these Terms. Mandatory rights under applicable law prevail over any inconsistent contractual term.

1. Eligibility and customer accounts

You must be at least 18 years old to create an account, submit an NKS PRO application or place an order through the Site. By doing so, you confirm that you have legal capacity to enter into the relevant transaction.

You must provide accurate, current and complete information. Customer authentication is managed through Shopify Customer Accounts using passwordless authentication, such as a one-time verification code sent to your email and other Shopify-supported sign-in methods where available. You are responsible for maintaining control of the email account, device or authentication method used to access your account.

You may not transfer, sell or allow another person to misuse your account. We may suspend or restrict account access where reasonably necessary to protect the Site, customers, professional materials, payment security or NKS against fraud, misuse or breach of these Terms.

2. Consumers, professional customers and NKS PRO

The Site serves both individual consumers and professional hair-industry customers. Some provisions of consumer-protection law apply only when you purchase primarily for personal, family or household purposes and may not apply to purchases made wholly or mainly in the course of a business or profession.

Access to NKS PRO may require professional verification. We may request information reasonably necessary to verify that an applicant is a salon, hair professional, educator, distributor or other eligible professional. Approval, professional pricing and access to professional content may be limited, suspended or withdrawn where eligibility is not established or the professional account is misused.

Professional pricing, treatment protocols, technical materials, training content and other restricted NKS PRO materials are provided for the approved professional account and may not be copied, redistributed, published or shared outside the permitted professional use without our prior written permission.

3. Products and professional-use requirements

Nanokeratin System offers professional hair-treatment products and home-care products. Certain products may be designated for professional use only. Where a product is identified as professional-only, it must be purchased and used only by appropriately trained or qualified professionals and in accordance with the product label, technical protocol, training materials and applicable laws and regulations.

Product descriptions, photographs, colours, packaging images, treatment examples and before-and-after content are intended to describe or illustrate the product. Screen settings, lighting, hair condition and other factors can affect appearance. Results can vary according to hair type, porosity, previous chemical services, condition, technique, protocol compliance and aftercare. Images, examples and educational materials are not a guarantee that every user will achieve an identical result.

Always review the current product label, ingredient list, warnings and instructions before use. Treatment information on the Site is educational and product-related; it is not medical advice or a medical diagnosis. If a product causes an unexpected adverse reaction, discontinue use and seek appropriate professional or medical advice where necessary.

We may update product packaging, artwork, specifications, formulations or instructions where permitted by law and regulatory requirements. The product label and documentation supplied with the product at the time of purchase should be followed.

4. Product availability, territories and authorised channels

Products, sizes, professional systems and promotions may differ by country or customer type and may be changed or discontinued without prior notice, subject to orders already accepted and applicable law. We may limit quantities or refuse supply where reasonably necessary because of stock availability, professional-use restrictions, suspected fraud, regulatory requirements, export or import restrictions, sanctions, carrier restrictions or distribution arrangements.

Professional customers may use products in the ordinary course of their salon or professional services. Resale, redistribution, export, marketplace listing or commercial supply outside an authorised NKS channel is permitted only where expressly authorised by NKS or by an applicable distribution agreement. Nothing in this clause restricts any right that cannot legally be restricted.

5. Orders and contract formation

Placing an order is an offer to purchase the products in your cart. An automated order acknowledgement confirms that we have received the order but does not necessarily mean that the order has been accepted. Unless applicable law requires otherwise, the contract is formed when we confirm acceptance, normally through a dispatch or fulfilment confirmation, or when we otherwise begin fulfilment of the accepted order.

Before acceptance, we may decline or cancel an order for legitimate reasons, including lack of stock, a material pricing or description error, failed or reversed payment, suspected fraud, an ineligible professional-only purchase, inability to ship lawfully to the destination, or applicable regulatory or carrier restrictions. If we cancel an order after receiving payment, we will refund the amount paid for the cancelled items using the original payment method where reasonably possible.

Please review your order, delivery address and contact details carefully before submission. If you ask to change or cancel an order after fulfilment has begun, we will try to assist but may not be able to stop shipment. Your statutory cancellation rights remain unaffected.

6. Prices, taxes, currency and promotions

The price payable is the price shown at checkout when the order is submitted, subject to correction of obvious errors and applicable law. Unless expressly stated otherwise, product prices displayed on the Site do not include delivery charges. Applicable delivery charges are calculated and displayed separately in the cart or at checkout before the order is placed. For sales to consumers in Israel, prices will include VAT where Israeli law requires the total consumer price to include VAT.

For international orders, customs duties, import VAT, brokerage fees, local taxes or other import charges may be imposed by the destination country and may be payable by the recipient unless the checkout expressly states that such charges are included. NKS does not control charges imposed by foreign customs or tax authorities.

Where the Site displays more than one currency, the final checkout currency and amount shown before payment govern the transaction. Your bank, card issuer, PayPal or other payment provider may apply its own exchange rate or fees.

Promotions, discount codes, professional pricing and offers may be subject to additional conditions, expiry dates, stock limits, territory restrictions or customer eligibility. If specific promotional terms conflict with these Terms, the specific promotional terms apply to that promotion, subject to mandatory law.

7. Payment

Payments may be processed by PayPal, Airwallex, Shopify-supported payment methods or other payment providers displayed at checkout. Payment providers may apply their own terms and privacy notices. You confirm that you are authorised to use the payment method provided and that the payment information submitted is accurate.

We may carry out reasonable payment, fraud-prevention or order-verification checks before accepting or dispatching an order. We do not store full payment-card credentials on NKS systems where payment is entered directly through the payment provider.

8. Shipping, delivery, customs and risk

Orders are currently dispatched from Israel using Israel Post and EMS, subject to destination availability and carrier service. International delivery may involve the postal operator or delivery partner in the destination country and, where required, customs authorities.

Delivery dates and transit times shown on the Site are estimates unless expressly stated to be guaranteed. Customs clearance, local postal operations, security events, transport disruption, regulatory checks and other circumstances outside our reasonable control can affect delivery. Where mandatory consumer law provides a specific delivery right or deadline, that law prevails.

For consumer orders, risk of loss or damage remains with NKS until the goods are delivered to you or to a person you have identified to receive them, except where applicable law provides otherwise or where you independently appoint a carrier not offered by us. For business or professional orders, any different transfer-of-risk term must be expressly agreed in writing.

You are responsible for providing a complete and accurate delivery address and, for international orders, any information reasonably required for customs clearance. If a shipment is returned because of an incorrect address, refusal to accept delivery, failure to complete customs requirements or failure to pay import charges that were disclosed as the recipient's responsibility, we may deduct actual, reasonable and lawful return or re-shipping costs from any refund, to the extent permitted by applicable law.

9. Cancellations, returns and refunds

Cancellation, return and refund rights depend on where you live, whether you are acting as a consumer or in the course of a business or profession, the type and condition of the product, and applicable mandatory law. The detailed procedures, time periods, return conditions, refund methods and contact options are set out in our Returns, Refunds & Cancellation Policy, available on the Site, which forms part of these Terms.

9.1 Consumer rights

Consumers retain all mandatory cancellation, withdrawal, return, refund, conformity and statutory warranty rights that apply in their country. Nothing in these Terms or in our Returns, Refunds & Cancellation Policy limits a right or remedy that cannot lawfully be waived or restricted.

Where applicable law gives you a right to cancel or withdraw from an online purchase, you may exercise that right using the methods and within the periods described in our Returns, Refunds & Cancellation Policy, available on the Site. Any statutory rules concerning cancellation fees, return costs, refunds, damaged or defective goods, sealed products or health and hygiene exceptions will apply only to the extent permitted by the law governing the transaction.

If goods are damaged, defective, incorrect or materially non-conforming, your statutory remedies remain unaffected. Please contact us promptly so that we can investigate and provide the remedy required by applicable law.

9.2 Business and professional customers

Returns and cancellations for purchases made wholly or mainly in the course of a business or profession are subject to the commercial terms stated in our Returns, Refunds & Cancellation Policy, available on the Site, the terms displayed for the order and any separate written agreement with NKS, except where mandatory law provides otherwise.

If there is any inconsistency between these Terms and the Returns, Refunds & Cancellation Policy concerning the operational handling of a cancellation, return or refund, the specific Returns, Refunds & Cancellation Policy will apply, subject always to mandatory law.

10. Damaged, defective, incorrect or non-conforming products

If your order arrives damaged, defective, incorrect or materially different from what you ordered, contact us promptly with the order number and reasonable information that allows us to investigate, such as photographs where appropriate. Depending on the circumstances and your statutory rights, the remedy may include replacement, repair where applicable, price reduction, refund or another remedy required by law.

Nothing in these Terms limits statutory product-conformity, product-safety, legal-guarantee or product-liability rights that cannot be excluded.

11. Professional responsibility and treatment protocols

Professional users are responsible for carrying out appropriate hair assessment and for selecting and applying professional products in accordance with the current NKS protocol, product labelling, professional training, the client's hair condition and applicable professional standards. Where a protocol requires a particular assessment, preparation, timing, temperature, technique or aftercare step, it should be followed.

Professional training materials and support are intended to assist qualified professionals and do not transfer the professional's responsibility for the service provided to the salon client. NKS is not responsible for damage resulting from unauthorised use, material departure from instructions, use of a professional-only product by an unqualified person, or mixing or combining products contrary to instructions, except where liability cannot lawfully be excluded.

12. Intellectual property and protected professional content

The Site and its content, including the Nanokeratin System name and marks, product names, technology descriptions, treatment protocols, training materials, text, images, graphics, video, audio, product artwork, packaging designs, molecular graphics and website design, are owned by or licensed to NKS and are protected by applicable intellectual-property laws and treaties.

Except for ordinary personal browsing or the internal professional use expressly permitted to an approved NKS PRO account, you may not copy, reproduce, modify, translate, distribute, publish, commercially exploit, scrape, systematically extract, reverse engineer or create derivative works from protected Site content without our prior written permission. You may not use Site content, professional protocols or proprietary materials to train, fine-tune or build a competing commercial model, database, product or service without our prior written permission, except where such restriction is prohibited by applicable law.

13. Reviews, photographs and other user content

If you voluntarily submit a product review, photograph, video, testimonial, comment or other content for publication on the Site ("User Content"), you confirm that you have the rights needed to submit it and that it does not unlawfully infringe another person's intellectual-property, privacy or other rights.

You grant NKS a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format and use the User Content for operating, promoting and improving NKS products, the Site and related marketing channels, subject to applicable privacy and consumer law. This licence does not transfer ownership of your User Content to NKS. Where permitted, you may ask us to remove a review or other User Content, although removal from materials already lawfully produced or distributed may not always be immediate or technically possible.

We may moderate, refuse or remove User Content that is unlawful, misleading, abusive, defamatory, infringing, irrelevant, fraudulent, unsafe or otherwise inconsistent with these Terms or applicable law.

14. Shopify and third-party services

The Site is hosted on Shopify. Your purchase contract is with NKS, not Shopify. Shopify and other third parties may provide hosting, checkout, payments, reviews, accessibility, search, messaging, analytics, advertising, translation or other functionality. Their processing of personal information is described in our Privacy Policy and, where applicable, their own policies.

The Site may contain links to or embedded content from third-party websites or platforms. We are not responsible for the independent terms, content, availability or privacy practices of third-party websites that are not controlled by NKS.

15. Website availability, errors and changes

We aim to keep Site information accurate and available, but we do not guarantee that the Site will always be uninterrupted or error-free. We may correct typographical, technical, availability, pricing or product-information errors. Where an error affects an order already accepted, we will act in accordance with applicable law and will not remove rights that have already arisen under the contract or mandatory consumer law.

We may update Site functionality, product ranges, content and professional resources from time to time. Material changes to these Terms apply prospectively unless applicable law requires otherwise; an order is generally governed by the Terms in effect when that order was accepted.

16. Prohibited uses

You may not use the Site to:

• break any applicable law or infringe the rights of another person;

• impersonate another person, provide fraudulent information or make an unauthorised payment;

• introduce malware, interfere with security, attempt unauthorised access or disrupt the Site;

• systematically scrape, harvest or extract Site data or customer information without permission;

• misuse NKS PRO access, confidential professional content, promotional codes or professional pricing;

• purchase professional-only products through false professional credentials; or

• resell, redistribute or export products in breach of an applicable authorised-distribution restriction.

We may use reasonable technical measures to protect the Site and may suspend access where we reasonably believe these restrictions have been breached.

17. Disclaimer and statutory rights

Nothing in these Terms excludes any warranty, guarantee, product-safety obligation, consumer remedy or other right that cannot lawfully be excluded. To the extent permitted by law, informational Site content is provided for general product, educational and commercial purposes and should be read together with current product labelling and instructions.

We do not promise that every treatment will produce identical results on every person or hair type, or that the Site will be available without interruption. Any additional warranty expressly provided by NKS is in addition to, and does not replace, mandatory legal rights.

18. Limitation of liability

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law, including liability for fraud or fraudulent misrepresentation, wilful misconduct, or death or personal injury to the extent caused by negligence where applicable law does not permit exclusion. Nothing limits statutory product-liability or consumer-protection rights that cannot be waived.

For consumers, our liability is limited only to the extent permitted by the mandatory law applicable to the consumer and the transaction.

For business or professional customers, to the fullest extent permitted by law, NKS will not be liable for indirect or consequential business losses such as loss of profit, revenue, goodwill or anticipated savings arising from use of the Site or a product, except where such loss cannot lawfully be excluded. Any further contractual limitation agreed in a distributor, professional or other commercial agreement will apply to that business relationship.

19. Business-user indemnity

If you use the Site or purchase products in the course of a business or profession, you agree, to the extent permitted by law, to indemnify NKS against third-party claims arising directly from your unlawful use of the Site, infringement of NKS intellectual property, fraudulent professional credentials, unauthorised redistribution of protected professional materials, or resale of products in breach of an express authorised-channel restriction. This section does not apply to an individual consumer acting outside a business or profession to the extent such an indemnity would be prohibited or unfair under applicable law.

20. Events outside our reasonable control

We are not responsible for delay or failure caused by events outside our reasonable control, such as carrier disruption, customs or border action, war, civil disturbance, natural disaster, epidemic, government restriction, industrial action, infrastructure failure or major technology outage. We will take reasonable steps to reduce the effect of the event. Mandatory consumer rights concerning delivery, cancellation and refunds remain unaffected.

21. Suspension and termination

We may suspend or terminate Site or NKS PRO access where reasonably necessary because of security risk, fraud, loss of professional eligibility, material breach of these Terms or unlawful conduct. Suspension or termination of account access does not remove rights or obligations relating to orders already accepted, payments already due, intellectual property, privacy, liability or other provisions that by their nature continue after termination.

22. Governing law and disputes

These Terms and contracts made through the Site are governed by the laws of the State of Israel, without prejudice to mandatory consumer-protection rules, choice-of-law rules or jurisdiction rights that apply to a consumer in another country and cannot lawfully be waived.

For business and professional customers, unless a separate written commercial agreement states otherwise, disputes relating to these Terms are subject to the jurisdiction of the competent courts of Israel. Consumers retain any right to bring or defend proceedings in another forum where mandatory law gives them that right.

Where you have a statutory or contractual right to cancel an online transaction, cancellation may also be submitted using the dedicated online cancellation facility on the Site, by fax, registered mail, or by any other method required by applicable law. Detailed instructions are available in our Returns, Refunds & Cancellation Policy, available on the Site. Please include sufficient information to identify the order, such as your name, order number and contact details.

24. Changes to these Terms

We may update these Terms to reflect changes in law, products, technology, Site functionality or business practices. The current version and its "Last updated" date will be posted on the Site. Where a material change requires notice or consent under applicable law, we will provide it. Changes do not retroactively alter an order already accepted unless the law permits or requires this, or you agree to the change.

25. General provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. A delay or failure by either party to exercise a right does not waive that right. These Terms, together with the policies and order-specific terms incorporated into them, constitute the agreement governing the relevant use of the Site or order, subject to mandatory law and any separate written commercial agreement applicable to a professional customer or distributor.
